These Terms of Service (“Terms”) govern the use of the GliVal Booking Platform (“GliVal”, “we”, “us”, “our”), operated by X STAR CODE, registered in Edmonton, Alberta, Canada (Registration Number: TN26511691).
GliVal is a technology and booking platform.
All services listed on GliVal are provided solely by independent service providers (“Customers”).
All appointments are between the Client and the Customer. GliVal is not a party to these agreements.
By booking or using GliVal, you accept these Terms.
1. Nature of the Platform
GliVal provides scheduling, payment processing (Stripe Connect Express), and communication tools allowing Clients to book services offered by independent Customers.
You acknowledge:
- GliVal does not provide, supervise, control, or guarantee any services offered by Customers.
- GliVal is not the merchant of record; each Customer is.
- GliVal does not employ, train, certify, or verify the qualifications of Customers.
- All liability related to services lies directly between Client and Customer.
GliVal provides technology as-is and as available.
2. Booking and Payments
GliVal uses Stripe to process all online payments through Direct Charges, meaning:
- Payments are processed directly for the Customer, not for GliVal.
- Funds settle directly into the Customer’s Stripe Express account.
- GliVal does not hold, control, or store Client funds.
2.1 Payment Authorization
Some payment flows authorize a card before capture.
Capture occurs automatically based on the Customer’s configured rules.
2.2 Deposits and Full Payments
Customers may offer:
- In Person Payments, or
- Deposit payments, or
- Full payments.
The Customer determines which option applies to each service.
3. Fees
GliVal applies no additional platform fee to Client payments.
Clients pay only:
- The service price defined by the Customer.
- International card fee (if applicable) — this fee is paid by the Client when using a non-Canadian card.
Customers pay:
- Stripe’s standard processing fee (2.9% + $0.30 CAD), deducted from their payout by Stripe.
GliVal does not modify or mark up Stripe fees.
GliVal receives no portion of Client payments unless the Customer subscribes to a paid plan.
4. Pricing and Taxes
- All prices are set solely by the Customer.
- Customers are responsible for determining, collecting, and remitting all applicable taxes (GST/HST/PST).
- GliVal does not validate or guarantee tax settings.
- GliVal is not responsible for Customer tax compliance.
5. Cancellations, Late Cancellations, and No-Shows
Cancellation rules are defined entirely by the Customer.
By booking, the Client agrees to those rules.
GliVal:
- Does not control, enforce, or evaluate cancellation policies,
- Only facilitates Stripe payment processing,
- Is not responsible for any decisions made under those policies,
- Creates a snapshot of the Customer’s cancellation rules, platform fees, and payable amounts at the time of booking.
Because GliVal stores these snapshots, any changes the Customer makes to their policies after the booking does not affect the Client’s original payment terms or cancellation conditions.
6. Refunds
GliVal does not hold Client funds. All captures, cancellations, and refunds occur through Stripe and are executed automatically by the platform according to the booking snapshot stored at the time of appointment creation.
GliVal does not manually review or decide refunds.
Customers also do not manually initiate refunds through GliVal.
Refunds are triggered strictly by the platform's automated logic.
For all detailed rules — including free-cancellation refunds, late-cancellation partial refunds, no-show charges, Customer-initiated cancellations, and deposit/pay-rest flows — please refer to the Cancellation, Refund, and No-Show Policy.
7. Disputes & Chargebacks
All disputes and chargebacks are handled through Stripe’s dispute process.
- The Customer, as the merchant of record, is responsible for responding to disputes and providing evidence to Stripe.
- GliVal may, at its discretion, assist the Customer by providing relevant appointment session logs or technical data, but such assistance is optional and does not guarantee a favorable outcome.
- GliVal does not prepare or submit dispute evidence on behalf of the Customer.
- Any losses, chargeback fees, or outcomes resulting from insufficient evidence or unresolved disputes are borne solely by the Customer.
GliVal is not liable for dispute outcomes or financial losses related to disputes or chargebacks.
8. Service Delivery Responsibilities
Customers are fully responsible for:
- Service quality and timeliness,
- Safety, hygiene, and compliance with all applicable laws and regulations,
- Accuracy of service descriptions,
- Appointment availability and address accuracy.
GliVal does not guarantee attendance, service outcomes, or Client behavior.
GliVal prohibits the offering of illegal, harmful, or otherwise prohibited services.
If GliVal suspects that a Customer is providing or attempting to provide such services, or is engaging in abusive, fraudulent, or non-compliant behavior, GliVal may take appropriate action, including suspension or termination of the Customer’s account.
All issues related to service delivery must be resolved directly between Client and Customer.
9. Client Responsibilities
Clients must:
- Provide accurate contact and payment information,
- Attend appointments on time,
- Comply with Customer cancellation and no-show policies,
- Avoid abusive, fraudulent, or harmful behavior.
Failure to follow Customer rules may result in applicable fees charged to the Client’s payment method.
10. Platform Availability
GliVal aims to maintain reliable and continuous platform operation; however, access to the platform may occasionally be interrupted due to maintenance, updates, network conditions, third-party service providers, or other factors.
GliVal provides the platform on an “as is” and “as available” basis and cannot guarantee:
- uninterrupted or error-free operation,
- constant availability of all features,
- delivery of notifications (SMS/email),
- perfect accuracy of calendar synchronization.
GliVal is not liable for losses arising from outages, delays, connectivity issues, or notification failures.
Nonetheless, GliVal continually works to maintain platform stability and minimize disruptions.
11. Limitation of Liability
To the fullest extent permitted by law:
- GliVal is not liable for any damages or losses arising from services provided by Customers.
- GliVal is not liable for cancellation fees, no-show fees, disputes, payment outcomes, or service results.
- In any case where liability cannot be excluded, GliVal’s total aggregate liability to any user shall be limited to the lesser of:
- CAD $100, or
- the amount actually paid by the user to GliVal for platform services in the 12 months preceding the claim.
This limitation is an upper boundary on potential liability and does not represent an obligation to compensate.
Use of the platform is at your own risk.
12. Indemnification
You agree to indemnify and hold harmless GliVal and X STAR CODE from claims, losses, liabilities, disputes, or expenses arising from:
- Your use of GliVal,
- Your interactions with Customers or Clients,
- Services booked through the platform,
- Violation of these Terms or any applicable law.
13. Modifications
GliVal may update these Terms.
Updates will include a revised “Last Updated” date.
Continued use of the platform constitutes acceptance.
14. Governing Law
These Terms are governed by:
- the laws of the Province of Alberta, and
- the federal laws of Canada applicable therein.
Any disputes arising out of or related to the use of GliVal may be resolved in the courts of Alberta, Canada, which shall have jurisdiction unless otherwise required by applicable law.
Nothing in this section prevents the parties from seeking to resolve disputes through informal negotiation or other lawful methods of dispute resolution.
